1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the LabInflow Order Management System (“LabInflow”), which may be deployed as a locally installed Microsoft Access application or accessed via a web-based interface. By installing, accessing, or using LabInflow in any form, you agree to be bound by these Terms.

LabInflow is a product developed for research institutions, laboratories, and academic environments to manage orders, track supplies, and streamline lab workflows. These Terms apply to all users and clients, including administrators, end-users, and purchasing institutions.

2. Eligibility and Access

LabInflow is intended for use by institutional users such as academic researchers, lab staff, and administrative personnel. Individual users must be authorized by their organization or institutional administrator. By using LabInflow, you confirm that you are legally eligible to use the software under the laws of your jurisdiction.

3. Account Creation & Management

  • Local (MS Access-based version):
    In locally installed environments, all user account creation, permissions, and activation are the sole responsibility of the client-side administrator. LabInflow developers do not retain access to client data or user accounts hosted on client infrastructure.
  • Web-based version (if applicable):
    User registration and account activation may be handled via the hosted platform, subject to administrator approvals and applicable access rules. Usage of the web-based version may require email verification, institutional validation, and compliance with additional web security policies.

4. Client Responsibilities (Local Installations)

For locally installed (MS Access-based) versions of LabInflow:

  • Clients are fully responsible for managing and maintaining their backend database, including file security, access controls, and data backups.
  • LabInflow developers are not liable for any data loss, corruption, or downtime arising from client-side storage, configuration errors, or network issues.
  • Clients are strongly advised to implement regular backups and security measures to protect their data and maintain system functionality.

5. System Usage and Restrictions

By using LabInflow, you agree to use the system solely for its intended purpose—managing laboratory and institutional ordering workflows. You must not:

  • Use LabInflow for any illegal, unauthorized, or harmful purposes.
  • Attempt to modify, decompile, disassemble, reverse engineer, or otherwise interfere with the source code, file structure, or logic of the software.
  • Bypass any system limitations or licensing restrictions.
  • Resell, sublicense, or redistribute the software to third parties without written permission from the developers.

Any misuse of the system may result in immediate suspension of your license or restriction of access, with no refund obligation.

6. Licensing & Ownership

LabInflow is licensed, not sold. Regardless of whether the software is acquired through a subscription or a one-time lifetime purchase, all rights, title, and intellectual property associated with LabInflow remain exclusively with the developer.

Clients and users are granted a limited, non-exclusive, non-transferable license to use LabInflow for internal institutional purposes only.

You may not claim ownership of the software, copy or replicate its design, logic, or database structure for use outside of LabInflow, nor may you attempt to develop derivative works based on the system.

Use of LabInflow does not grant you any ownership rights in the software, codebase, design, or any associated intellectual property. LabInflow and all associated branding, icons, and interface elements are protected under applicable intellectual property laws.

7. Subscription and Purchase Models

LabInflow may be licensed under one of the following models, depending on your agreement at the time of purchase:

a. Yearly Subscription

  • Access to LabInflow is provided for the duration of the paid subscription.
  • Upon subscription expiry, the system will automatically convert to limited mode, restricting core functionality until the subscription is renewed.
  • Clients are notified in advance of upcoming expiry and are responsible for renewing access in time.

b. One-Time Lifetime License

  • This grants indefinite access to the current version of the software.
  • Lifetime licensing does not imply ownership. All terms under Section 6 (Licensing & Ownership) apply.
  • Clients with lifetime licenses are entitled to updates and support as per the support agreement in place at the time of purchase.

No refund will be issued for discontinued use or deactivation due to terms violations.

8. Termination and Limited Mode Policy

We reserve the right to restrict or terminate your access to LabInflow if:

  • You breach these Terms, misuse the system, or violate the licensing terms.
  • You fail to maintain an active subscription where required.

In such cases, LabInflow may revert to a read-only or limited-access mode. This allows users to view existing data but restricts order creation, updates, or administrative changes until licensing compliance is restored.

Voluntary termination (by client) does not entitle you to a refund, nor does it transfer any ownership rights to you.

9. Limitation of Liability

To the fullest extent permitted by applicable law, the developers of LabInflow shall not be held liable for any indirect, incidental, consequential, or special damages, including but not limited to:

  • Loss of data
  • Business interruption
  • Damage due to unauthorized access
  • Downtime due to client infrastructure or misconfiguration

This applies regardless of whether such damages arise from use, misuse, inability to use the system, or any other claim connected with LabInflow.

Clients are solely responsible for maintaining their own IT infrastructure, database health, and data backup systems—especially in the case of locally installed (MS Access-based) versions.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of laws principles.

Where applicable, clients within the European Union also agree to comply with relevant EU regulations such as the General Data Protection Regulation (GDPR).

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Germany.

11. Modifications to Terms

We reserve the right to modify these Terms & Conditions at any time. If changes are made:

  • Web-based users will be notified through platform notifications or email.
  • MS Access clients will be notified via email or software update documentation.

Continued use of LabInflow after changes take effect constitutes acceptance of the updated Terms. Clients are responsible for regularly reviewing the Terms for updates.
